Houston-based frozen food manufacturer being acquired by global company

Houston-based Windsor Quality Holdings LP, manufacturer of Windsor Foods frozen foods, is being acquired by Tokyo-based Ajinomoto Co.
Windsor makes Tai Pei, a line of Asian frozen foods; Jose Ole, a Mexican line; and Bernardi, Italian. Windsor food products are purchased by about 120,000 restaurants, according to a joint statement from Ajinomoto Group and Windsor Foods.
Terms of the agreement were not disclosed. The transaction, which is expected to be completed in November, does not include Windsor’s sister company, Dallas-based Quality Sausage.
Windsor, a privately owned company, operates seven manufacturing plants in five states.
The Ajinomoto Group will maintain Windsor’s management structure and team, according to the statement.
Ajinomoto Co. is a global manufacturer of seasonings, processed foods, pharmaceuticals and more. The company generated sales of $11 billion last year.
Baker Botts represented Windsor in the transaction.
